Meet the Team

The Prism team have over 200 years of Company Secretarial experience between them.

Kerin Williams Managing Director

Kerin has over 20 years' experience in the company secretarial field and heads up the Prism business with responsibility for the financial and operational management of the business as well as her own client work. Prior to joining Prism Kerin worked in-house in senior positions within the company secretarial departments of a number of FTSE 100 and FTSE 250 companies in a variety of sectors including chemicals (Elementis plc), printing and banking. Her last in-house role was Deputy Company Secretary of a dual listed FTSE 100 property company (Liberty International plc now Intu). Kerin’s Prism clients range from FTSE 100 to AIM in a number of sectors including financial Services, Property, resources and Travel and Leisure. For some of her clients Prism Cosec has been appointed Company Secretary so Kerin’s role involves the provision of the complete company secretarial department service including full management of the Board timetable, agenda, Board papers, Board meeting attendance, liaison with the Chairmen and Board as well as Stock Exchange announcements and Share Scheme management.

Chris.jpg Chris Stamp Boardroom Director

Chris has over 25 years’ experience in the company secretarial field and has been responsible for development of Prism Cosec as a company secretarial practice. His clients have included companies from emerging markets who have listed on both the Main Market and AIM in London, particularly during the pre- and post-IPO periods. Chris’s clients include Fresnillo plc, a FTSE 100 listed company in Mexico. Other current and recent Prism Cosec clients include Glencore International plc, Ophir Energy plc, Ferrexpo plc, and Quintain Estates & Developments plc.

Chris has also undertaken a number of Board evaluation projects in recent years. Prior to setting up Prism, Chris was employed as a company secretary with a number of blue-chip companies where he was also responsible for legal and regulatory compliance. 

Marie-Gracie.jpg Marie Gracie Associate Director

Marie has been a Company Secretary in the listed company environment for over 30 years. Prior to joining Prism Cosec, Marie was Company Secretary and a Divisional Director of listed family brewer Fuller, Smith & Turner PLC for 16 years. She also undertook the Personnel Director role there for several years.

Marie was also Company Secretary of Argos PLC when it was a FTSE 100 company, and in between those two roles worked in Bermuda for a law firm, providing company secretarial services to international clients.

Marie’s key role at Prism is developing and delivering our Prism Boardroom suite of products, which include induction and ongoing training for Directors of listed companies, board evaluations and company secretarial mentoring.

Viv-Hemming.jpg Viv Hemming Senior Assistant Director

Viv has over 20 years' experience as a chartered secretary and corporate governance practitioner. Prior to joining Prism Viv held the role of  company secretary in a number of quoted public  companies in the retail, pharmaceutical and technology sectors. 

Most recently she was group company secretary at the FTSE 250 retailer, GAME Group plc.

Viv specialises in the management of Board processes working closely with Directors to ensure compliance with corporate governance best practice. 

Viv also has extensive experience in employee share schemes, corporate social responsibility, intellectual property and data protection. 

Jenny.jpg Jenny Casson Associate

Jenny has over 20 years’ experience in the company secretarial field. Prior to joining Prism Jenny worked in various senior positions within secretariat departments of a number of FTSE 250 companies.  Her last in-house appointment was as Deputy Company Secretary for National Express Group PLC, a post she held for over 12 years.  Her role there included the full remit of company secretarial work including responsibility for share schemes, AGM management, insurance, pension trusteeship and trade marks.  Jenny was also responsible for recruitment, training and management of the company secretarial team. Jenny’s Prism clients are generally main market companies but also include smaller FTSE and AIM companies particularly in the mining and oil and gas sectors.

John-Holmes.jpg John Holmes Associate

John has over 25 years’ experience in the company secretarial field in various sectors including natural resources, financial services, energy, manufacturing, retail and telecommunications. Prior to joining Prism John worked as a Company Secretarial consultant working with several major listed companies including Barclays, Centrica, Vedanta Resources  and Glencore International. Prior to that he was Group Company Secretary at Argos (now Home) Retail Group, and before that was with British Telecommunications where he worked on the company’s second and third public share offers. 

John’s Prism clients have ranged from FTSE 100 to AIM, primarily in the natural resources sector.  Specific tasks for clients have included IPO support, management of the Board process, corporate governance audits and reporting, and share issues.

Simon.jpg Simon Maynard Assistant Director

Simon has over 10 years’ experience in the company secretarial field.

Prior to joining Prism in September 2014, Simon was Assistant Company Secretary at Intu Properties plc, a dual listed (UK and South Africa) Real Estate Investment Trust, where he gained significant experience managing the day to day statutory and governance activities of the Secretariat team and was heavily involved in a number of corporate transactions, including equity and debt financing, a demerger and major property acquisitions.

Simon’s Prism clients include listed (both Main Market and AIM) and unlisted companies, for whom he has carried out a range of company secretarial services including acting as designated Company Secretary, board and committee support and attendance, annual report drafting, in-depth corporate governance and share scheme audits and ad-hoc governance advice. Simon has also presented Company Secretary and Corporate Governance updates at a number of Equiniti client forums.

Simon holds a law degree and a masters in legal aspects of maritime affairs from the University of Wales, Cardiff.

Sally.jpg Sally Chandler Assistant Director

Sally has over 25 years’ experience as a company secretary. Before joining Prism, she was Group Company Secretary at Air Partner plc, a listed global aviation services company. She worked closely with the board and its committees, delivering the full company secretarial remit, including meeting support, listing and corporate governance compliance, annual report drafting and production, new board member inductions, board evaluations, shareholder meetings and share scheme management, and legal support. Before that, Sally was Company Secretary and Legal Manager at A. S. Watson (Health & Beauty UK) which owns UK high street brands, Superdrug and The Perfume Shop, a post she held for 14 years. She has also worked in senior positions in company secretarial teams in the chemicals, property and charity sectors. In these roles, she has gained extensive experience in corporate governance, statutory compliance, intellectual property, data protection, litigation and employee share schemes and has been involved in a number of corporate transactions.  

Sally works with a portfolio of FTSE main market and AIM listed clients, providing a range of company secretarial services including board and meeting support, corporate governance audits and advice, and assistance with the production of annual reports and other shareholder documents. 

MartinSmith.jpg Martin Smith Associate Director

Martin has over 25 years' experience as a company secretary, employed in-house at FTSE 100 and FTSE 250 companies, including deputy secretary roles at BPB plc (mining and manufacture) and Standard Life plc during its demutualisation (financial services) and as Group Company Secretary of Salamander Energy plc (oil & gas exploration) and Just Retirement Group plc (financial services).

Prior to joining Prism Cosec, he was Group Company Secretary of Just Retirement Group plc for five years and made a key contribution to the Initial Public Offering of the Company in 2013. He was responsible for delivering a full suite of company secretarial services for the regulated Company, including Board and Committee meetings support, corporate governance and listing compliance, Board effectiveness reviews, annual report and circular drafting, shareholder meetings and share schemes management.

Martin has extensive experience of servicing Board and Committee meetings, embedding corporate governance frameworks and managing compliance systems. His specialism is leading company secretariat change programmes prior to and post main market listings. Recent clients include Misys Group, Evraz plc, Xafinity plc and TMF Group. He is a Chartered Secretary (Fellow) and holds an MBA.

Stefan Bort Associate

Stefan has over 30 years’ experience of corporate issues within UK listed companies, mainly with international operations. A Chartered Secretary with a Masters in International Commercial Law, Stefan was previously Group Secretary of George Wimpey plc and Cadogan Petroleum plc. Prior to joining Prism, Stefan spent nearly four years at Prudential as Deputy Group Secretary. In these roles he has covered a wide range of issues including: board support and governance, major corporate transactions; shareholder services; employee share plans; litigation; pensions and intellectual property.

Mark has over 25 years’ experience gained with both private and quoted and AIM-listed public companies.

Immediately prior to joining Prism, Mark held various senior positions within secretariat departments including JP Morgan, Fleming Asset Management, ICI and Boosey & Hawkes as well as in professional services with PricewaterhouseCoopers.

Mark’s Prism clients range from the third sector (Canal & River Trust), main market (Hill & Smith Holdings PLC and AIM (Regenersis Plc and Chamberlin plc). 

Specific tasks for clients have included full management of the Board process, corporate governance audits and ad hoc projects including corporate simplification.

RebeccaSandford.jpg Rebecca Sandford Associate

Originally from Australia, Rebecca has over 10 years’ experience in the company secretarial field across a number of markets including the FTSE 100 and 250, AIM and ASX as well as privately limited companies in a number of sectors. Prior to joining the team at Prism, Rebecca worked within secretariat departments of a number of dual listed ASX/ AIM oil & gas, mining and IT companies.

Rebecca’s experience includes Corporate Restructures, IPOs, Capital Raisings, Mergers & Acquisitions and Take-Overs. Since joining Prism, Rebecca has primarily been involved in a 12 month corporate simplification liquidation project, where she has successfully liquidated over 40 companies. She has also worked on other projects assisting with drafting Annual Reports and AGM notices, while assisting with other company secretarial duties.

Helen-Martin.jpg Helen Martin Chartered Secretary

Helen has over 10 years’ experience in the company secretarial field across a number of sectors. Prior to joining the team at Prism, she had worked within secretariat departments of a number of FTSE 100 and 250 companies namely Barclays PLC, United Business Media PLC and most recently Kazakhmys PLC.

 Helen’s clients include Fresnillo plc, a FTSE 100 mining company for which she provides company secretarial support with a focus on corporate governance. Examples of tasks undertaken include assisting with the drafting of the governance sections of the annual report and developing a policy document for the Audit Committee. Helen has a number of smaller private clients some of which are looking to establish a presence in the UK, and as such has set up UK entities and re-organised share capital structures.

Teresa-Heritage.jpg Teresa Heritage Chartered Secretary

Teresa has over 30 years’ experience in the company secretarial field. Prior to joining Prism Teresa worked for Lonrho Plc (now Lonmin Plc) where she joined the company secretarial department in 1977. During her time at Lonmin Teresa served as the Assistant Company Secretary and General Manager of Investor Relations. 

As well as the core company secretarial role, Teresa has experience in property administration, investor relations, corporate social responsibility promotion, website management and development, AGM management, Report and Account production and share option scheme management. 

Teresa joined Prism in 2006, since when she has worked with such clients as London Mining PlcQuintain Estates and Development Plcand the Canal & River Trust (formerly British Waterways) providing a wide range of company secretarial services, particularly specialising in the installation and integration of Online Company Secretarial software and data.

Caroline-Wheaton2.jpeg Caroline Wheaton Associate

Caroline has over 20 years’ corporate experience with 15 years’ spent as a listed plc Company Secretary.

Caroline was Divisional COO and Company Secretary at FTSE 250Howden Joinery Group Plc, overseeing various parts of the Company’s operations from governance through to product & marketing and the group’s fledgling European business. Prior to this she worked as Company Secretary for AIM listed IT provider, Business Systems Group plc where she also took responsibility for areas such as HR and Marketing.She moved there after spending nine years in financial services at Greenwich NatWest and NatWest Markets, where Caroline led teams in both European Corporate Lending and Securitisation.

Caroline is part of our Boardroom Practice team, where she focuses on Board Evaluation and Mentoring. 

Han-Nee-.jpg Han Nee Ang Senior Manager

Han Nee has over 14 years’ experience in the company secretarial field. Prior to joining Prism Cosec and previously David Venue, she worked in a corporate secretarial company, closely associated with KPMG Malaysia, and gained her ACIS qualification in Malaysia. Han Nee’s portfolio of clients includes over 150 companies, these range from public companies listed on the Premium Main Market to private companies.  In addition to managing her clients’ compliance work and routine Stock Exchange announcements, Han Nee has been involved in transactional tasks and re-organisations within the groups and carried out many client reviews. Han Nee has also been seconded to many listed and non-listed clients, including GlaxoSmithKline plc, Misys plc, Just Retirement Group plc, AstraZeneca plc and Barclays plc.  During her secondments, Han Nee was responsible for the full range of company secretarial matters, including dealing with statutory compliance, statutory filings and compliance for UK group companies, assisting with ad-hoc capital re-structuring/investments, Blueprint updating and maintenance of overseas companies.  Han Nee is responsible for the in-house technical training of Prism Cosec’s junior members of staff.  

Han Nee is fluent in English, Mandarin (Chinese), Cantonese and Bahasa Malaysia.

Natalia Best.jpg Natalia Best Senior Manager

Natalia has 9 years’ experience in the company secretarial field. Prior to joining the team at Prism Natalia worked for Morgan Sindall Group plc for 10 years where she gained her ACIS qualification.

During her time at Morgan Sindall Natalia served as the Deputy Company Secretary where her role covered the full remit of company secretarial duties. These included Stock Exchange announcements, corporate governance and listing compliance, annual report and circular drafting and overseeing the statutory compliance and filings of the Group subsidiaries. Natalia was also involved in various internal corporate transactions and re-organisations and was responsible for the day to day management of the Share Schemes and trade mark registrations.

Natalia holds a Physiology degree from the University of Edinburgh and is fluent in Spanish.

Tim.jpg Tim Hughes Senior Manager

Tim has 30 years’ experience in the company secretarial field and started his career in Jordan & Sons.  There he quickly rose to become a manager within the company secretarial section, with responsibility for the installation of working procedures in the group’s subsidiary companies. He then gained extensive experience of company secretarial practice as a head of the company secretarial department of a large firm of auditors and a leading law firm. Tim regularly attends board and board committee meetings as well as attending and overseeing the proper conduct of shareholder meetings.  His portfolio of clients includes SMEs to AIM listed companies, charities and entities in the public sector. 

Tim specialises in undertaking projects on behalf of clients or the client companies of professional firms. Recent projects have included several group restructures following the introduction of provisions to enable private limited companies to reduce their share capital without the need for the sanction of the Courts, the preparation of witness statements and supporting documentation for submission into Court of dissenter registers for some large public companies and providing strong support to one of his listed clients in a recent series of corporate actions.

Reynolds.jpg Reynolds Robertson Senior Manager

Reynolds has close to 30 years’ experience in the company secretarial field. He has worked for a number of professional service providers of company secretarial services including 14 years with Scottish solicitors Burness, 2 years with the Scottish arm of Jordan company formations, over 5 years with Morley and Scott Chartered Accountants, together with interim positions with Charles Russell and H.  W.   Fisher & Co.    Reynolds deals with a variety of clients, including quoted and AIM companies, large groups, small private companies and professional service firms. He has extensive experience of minuting board and committee meetings across a range of business sectors, has dealt with a number of group re-organisations and subsidiary rationalisation programmes, share capital reductions and own share purchases, set up and administered EMI schemes and also has experience of presenting company secretarial and directors induction seminars.  He has also undertaken a number of secondments at clients, including Barclays Bank plc, Royal Mail plc and Glaxosmithkline plc.    Reynolds holds a Scottish Higher National Diploma in Business Studies and is also the holder of the ICSA Employee Share Plans Certificate.

Mariam has over 5 years of experience in the company secretarial field. Prior to joining Prism, Mariam worked in-house at Cineworld Group plc. Other in-house roles in her career include a FTSE 250 and also an AIM company, where she gained experience in general statutory compliance, routine Stock Exchange announcements, share schemes administration and organising board meetings. Mariam is fluent in French.

Angela Orban Senior Company Secretarial Assistant

Angela has over 25 years’ experience in the company secretarial field and has worked for a number of professional service providers, including over 10 years with the international law firm Clifford Chance as well as Chartered Accountants Chantrey Vellacott. Angela has ample experience in dealing with major international companies and their subsidiaries, including Time Warner, Camelot and Lego. She has had experience of the full range of company secretarial matters, including dealing with statutory  filings and compliance for UK companies , Blueprint updating and attending meetings.     

Angela holds a law degree and has joined Prism on a part time basis assisting the Senior Managers in Walton.

 

Andrew.jpg Andrew Humphries Company Secretarial Assistant

Andrew has over a year of experience in the company secretarial field.  Prior to joining Prism, Andrew worked in client relations for a financial services firm.   Andrew’s Prism clients range from FTSE 100 to AIM as well as privately limited companies in a number of sectors including housing (Taylor Wimpey and MJ Gleeson plc), luxury interior design (Candy & Candy) as well as film, education and infrastructure.  Andrew has experience in general statutory compliance, incorporations, arranging board meetings as well as releasing routine announcements to the London Stock Exchange.

Andrew holds History and Law degrees.
