The Prism team has over 400 years of Company Secretarial experience between them…

Kerin Williams, LLB, FCIS Director

Kerin has 25 years' experience in the company secretarial field and heads up the Prism business with responsibility for the financial and operational management of the business as well as her own client work.

Prior to joining Prism Kerin worked in-house in senior positions within the company secretarial departments of a number of FTSE 100 and FTSE 250 companies in a variety of sectors including chemicals (Elementis plc), printing and banking. Her last in-house role was Deputy Company Secretary of a dual listed FTSE 100 property company (Liberty International plc now Intu).

Kerin’s Prism clients range from FTSE 100 to AIM in a number of sectors including Property, resources, Fintech and Travel and Leisure. Specific tasks for these and other clients have included Full Management of the Board process, Corporate Governance Audits, Corporate Governance implementation, Project Management for Annual Reports, Post IPO policy implementation and Board timetabling, Share Scheme management and implementation, Staff Mentoring, AGM project management, writing Annual report compliance reports, Joint Venture Management and Board meeting attendance. For some of her clients Prism Cosec has been appointed Company Secretary so Kerin’s role involves the provision of the complete company secretarial department service including full management of the Board timetable, agenda, Board papers, Board meeting attendance, liaison with the Chairmen and Board as well as Stock Exchange announcements and Share Scheme management.

Viv Hemming 2 Viv Hemming Senior Client Director

Viv has over 25 years' experience as a chartered secretary and corporate governance practitioner. Prior to joining Prism Viv held the role of company secretary in a number of quoted public companies in the retail, pharmaceutical and technology sectors. 

Most recently she was group company secretary at the FTSE 250 retailer, GAME Group plc.

Viv specialises in the management of Board processes working closely with Directors to ensure compliance with corporate governance best practice. Viv’s portfolio of clients includes both Main Market and AIM companies where she acts as designated Company Secretary, providing full board and committee support. In addition she works with other clients on ad hoc governance projects, annual report drafting and mentoring.

Sally has over 25 years’ experience as a company secretary. Before joining Prism, she was Group Company Secretary at Air Partner plc, a listed global aviation services company. She worked closely with the board and its committees, delivering the full company secretarial remit, including meeting support, listing and corporate governance compliance, annual report drafting and production, new board member inductions, board evaluations, shareholder meetings and share scheme management, and legal support. Before that, Sally was Company Secretary and Legal Manager at A. S. Watson (Health & Beauty UK) which owns UK high street brands, Superdrug and The Perfume Shop, a post she held for 14 years. She has also worked in senior positions in company secretarial teams in the chemicals, property and charity sectors. In these roles, she has gained extensive experience in corporate governance, statutory compliance, intellectual property, litigation and employee share schemes and has been involved in a number of corporate transactions.

Sally works with a portfolio of FTSE main market and AIM listed clients, providing a range of company secretarial services including board and meeting support, corporate governance audits and advice, and assistance with the production of annual reports and other shareholder documents.

Simon.jpg Simon Maynard FCIS Client Director

Simon has over 15 years’ experience in the company secretarial field.  Prior to joining Prism in September 2014, Simon was Assistant Company Secretary at Intu Properties plc, a dual listed (UK and South Africa) Real Estate Investment Trust, where he gained significant experience managing the day to day statutory and governance activities of the Secretariat team and was heavily involved in a number of corporate transactions, including equity and debt financing, a demerger and major property acquisitions.

Simon’s Prism clients include listed (both Main Market and AIM) and unlisted companies, for whom he has carried out a range of company secretarial services including acting as designated Company Secretary, board and committee support and attendance, annual report drafting, in-depth corporate governance and share scheme audits and ad-hoc governance advice. Simon has also presented Company Secretary and Corporate Governance updates at a number of Equiniti client forums.

Simon holds a law degree and a masters in legal aspects of maritime affairs from the University of Wales, Cardiff.

John has over 30 years’ experience in the company secretarial field in various sectors, including financial services, energy, natural resources, services, building, biotech, manufacturing, retail and telecommunications. Prior to joining Prism John worked as a Company Secretarial consultant working with several major listed companies including Barclays and Centrica. Prior to that he was Group Company Secretary at Argos Retail Group, and before that was with British Telecommunications where he worked on the company’s second and third public share offers.

John’s Prism clients have included FTSE 100, 250, and small cap., AIM, and privately owned companies.  Areas covered include IPO support, management of the Board process, corporate governance audits and reporting, and share issues.

Stefan has over 30 years’ experience of corporate issues within UK listed companies, mainly with international operations. A Chartered Secretary with a Masters in International Commercial Law, Stefan was previously Group Secretary of George Wimpey plc and Cadogan Petroleum plc. Prior to joining Prism, Stefan spent nearly four years at Prudential as Deputy Group Secretary. In these roles he has covered a wide range of issues including: board support and governance, major corporate transactions; shareholder services; employee share plans; litigation; pensions and intellectual property. Prism roles undertaken include: providing ongoing board and governance support to a FTSE100; assisting companies with governance issues prior to and during IPO; and undertaking an audit of a company secretarial function for a FTSE 350 with an ongoing change and mentoring role.

Jenny has over 20 years’ experience in the company secretarial field. Prior to joining Prism Jenny worked in various senior positions within secretariat departments of a number of FTSE 250 companies. Her last in-house appointment was as Deputy Company Secretary for National Express Group PLC, a post she held for over 12 years. Her role there included the full remit of company secretarial work including responsibility for share schemes, AGM management, insurance, pension trusteeship and trade marks. Jenny was also responsible for recruitment, training and management of the company secretarial team. Jenny’s Prism clients are generally main market companies but also include smaller FTSE and AIM companies particularly in the mining and oil and gas sectors.

Mark has 30 years’ experience gained with both private, quoted and AIM-listed public companies. Immediately prior to joining Prism, Mark held various senior positions within secretariat departments including JP Morgan, Fleming Asset Management, ICI and Boosey & Hawkes as well as in professional services with PricewaterhouseCoopers.  Mark’s Prism clients include IPSX Group Limited, Bank and Clients Plc, AUL Technology Limited, all private companies, and Canal & River Trust (third sector). Specific tasks for clients have included full management of the Board process, corporate governance audits and ad hoc projects including corporate simplification.

David has worked for 20 years in UK-listed companies and has served as Company Secretary of Eurotunnel, P&O, Nikanor and Ferrexpo, all of which had overseas operations. In these roles he has developed particular experience of board and committee administration and advice, board evaluation, succession planning and NED recruitment and induction, and also corporate governance reporting and annual report drafting, AGM organisation (including logistics and liaison with proxy agencies on their voting recommendations), and general company administration (regulatory announcements, dividends and LTIP administration).

Originally from Australia, Rebecca has over 10 years’ experience in the company secretarial field across a number of markets including the FTSE 100 and 250, AIM and ASX as well as privately limited companies in a number of sectors. Prior to joining the team at Prism, Rebecca worked within secretariat departments of a number of dual listed ASX/ AIM oil & gas, mining and IT companies.

Rebecca’s experience includes Corporate Restructures, IPOs, Capital Raisings, Mergers & Acquisitions and Take-Overs. Since joining Prism, Rebecca has primarily been involved in a 12 month corporate simplification liquidation project, where she has successfully liquidated over 40 companies. She has also worked on other projects assisting with drafting Annual Reports and AGM notices, while assisting with other company secretarial duties.

Chris has over 30 years’ experience in the company secretarial field. Chris set-up Prism Cosec, a company secretarial and corporate governance practice in 2002. Prior to setting up Prism, Chris was employed as a company secretary with a number of blue-chip companies where he was also responsible for legal and regulatory compliance.

Chris was Managing Director of Prism until 2016, responsible for development of Prism Cosec as a company secretarial practice. Since 2016, Chris has focused on developing Prism’s board evaluation practice and speaks regularly on corporate governance and reporting developments. His clients have included companies from emerging markets who have listed on both the Main Market and AIM in London, particularly during the pre- and post-IPO periods.

Outside of Prism, Chris is a member of the Midlands Regional Advisory Group of the London Stock Exchange and Chairman of both the Board and Strategic Advisory Board of Emperor Design, one of the UK’s largest independent corporate creative communications agencies.

Chris is interested in sport, gardening and music. Chris holds a BA (Hons) in history from Southampton University and an MBA from Warwick Business School.

Helen has over 15 years’ experience in the company secretarial field across a number of sectors. Prior to joining the team at Prism, she had worked within secretariat departments of a number of FTSE 100 and FTSE 250 companies namely Barclays PLC, United Business Media PLC and most recently Kazakhmys PLC (now KAZ Minerals).

Helen’s main clients include both Main Market and AIM listed companies where Prism provide full company secretarial support. As such Helen is involved in all aspects of company secretarial tasks including drafting governance sections of annual reports, attending Board meetings, managing the process of transactional work as well as day to day compliance and ad hoc tasks as they arise.

Helen holds a degree in Business Law and Economics.

Han Nee Ang New Han Nee Ang FCIS Senior Manager

Han Nee has over 17 years’ experience in the company secretarial field. Prior to joining Prism Cosec and previously David Venus, she worked in a corporate secretarial company, closely associated with KPMG Malaysia, and gained her ACIS qualification in Malaysia. Han Nee’s portfolio of clients includes over 200 companies, these range from public companies listed on the Premium Main Market to private companies.  In addition to managing her clients’ compliance work and routine Stock Exchange announcements, Han Nee has been involved in transactional tasks and re-organisations within the groups and carried out many client reviews. Han Nee has also been seconded to many listed and non-listed clients, including GlaxoSmithKline plc, Misys plc, Just Retirement Group plc, AstraZeneca plc, Atkins Limited, SMBC Leasing (UK) Limited and Barclays plc.  During her secondments, Han Nee was responsible for the full range of company secretarial matters, including dealing with statutory compliance, statutory filings and compliance for UK group companies, assisting with ad-hoc capital re-structuring/investments, Blueprint updating and maintenance of overseas companies. 

Han Nee is fluent in English, Mandarin (Chinese), Cantonese and Bahasa Malaysia.

Jacqueline Compton Senior Manager

Jacqueline has over 20 years’ experience in the company secretarial field. Prior to joining Prism Jacqueline worked within secretariat departments of a number of FTSE 100 and 250 companies, covering a variety of different sectors including telecommunications and agriculture. She has a particular interest in shareholder administration. In addition to providing general company secretarial support to other team members in servicing their clients, Jacqueline has undertaken three long-term secondments to clients, covering a wide range of corporate administration. 

Jacqueline holds an HND in Business Studies from Plymouth Polytechnic.

Sian has over 10 years’ experience in the company secretarial field and has worked for a number of FTSE 250 main market listed companies, including SThree plc, SEGRO plc, Intu Properties plc and more recently, as Assistant Company Secretary at Direct Line Insurance Group plc.

Sian has significant experience in corporate governance and listing rules compliance, annual report and circular drafting, board and committee support, various corporate transactions, share schemes administration and the day to day management of company secretarial departments.

Sara 2 Sara Hollowell, FCIS/FCG Senior Manager

Sara has nearly 20 years’ experience in the company secretarial field. She has advised listed, AIM quoted and private companies in a broad range of sectors and has extensive experience of all aspects of company secretarial practice. Prior to joining Prism, Sara worked for Morgan Advanced Materials plc, Indivior PLC, Sovereign Housing Association, Equiniti David Venus and PricewaterhouseCoopers. Sara has also undertaken a number of client secondments with FTSE 100 and FTSE 250 companies. Sara’s Prism clients include AIM quoted and private companies.

Sara holds a law degree from the University of Reading, an MA in Later Medieval Studies from Royal Holloway, University of London and a post-graduate diploma in Administration and Law from the University of Ulster.

Tim Hughes New Tim Hughes Senior Manager

Tim has over 30 years’ experience in the company secretarial field and started his career in Jordan & Sons. There he quickly rose to become a manager within the company secretarial section, with responsibility for the installation of working procedures in the group’s subsidiary companies. He then gained extensive experience of company secretarial practice as a head of the company secretarial department of a large firm of auditors and a leading law firm. Tim regularly attends board and board committee meetings as well as attending and overseeing the proper conduct of shareholder meetings. His portfolio of clients includes SMEs to AIM listed companies, charities and entities in the public sector. 

Tim specialises in undertaking projects on behalf of clients or the client companies of professional firms. Recent projects have included several group restructures following the introduction of provisions to enable private limited companies to reduce their share capital without the need for the sanction of the Courts, the preparation of witness statements and supporting documentation for submission into Court of dissenter registers for some large public companies and providing strong support to one of his listed clients in a recent series of corporate actions.

Reynolds over 30 years’ experience in the company secretarial field. He has worked for a number of professional service providers of company secretarial services including 14 years with Scottish solicitors Burness, 2 years with the Scottish arm of Jordan company formations, over 5 years with Morley and Scott Chartered Accountants, together with interim positions with Charles Russell and H. W. Fisher & Co. Reynolds deals with a variety of clients, including quoted and AIM companies, large groups, small private companies and professional service firms. He has extensive experience of minuting board and committee meetings across a range of business sectors, has dealt with a number of group re-organisations and subsidiary rationalisation programmes, share capital reductions and own share purchases, set up and administered EMI schemes and also has experience of presenting company secretarial and directors’ induction seminars. He has also undertaken a number of secondments at clients, including Barclays Bank plc, Royal Mail plc, Glaxosmithkline plc and Quilter plc. Reynolds holds a Scottish Higher National Diploma in Business Studies and is also the holder of the ICSA Employee Share Plans Certificate.

Abisola Iroche Abisola Iroche Senior Company Secretarial Assistant

Abisola has over 15 years’ experience in the company secretarial field. Prior to joining Prism, she worked in the governance team at NHS Improvement, managing both Committee and Board meetings.  Other in-house roles over the course of her career have included FTSE 250 companies, professional services and a charity organisation, where she gained valuable experience in statutory compliance and statutory filings, organising board and committee meetings as well as board effectiveness reviews. Most recently she undertook a six-week secondment at Barclays Bank Plc. Abisola holds a law degree from the University of Wolverhampton and a master’s degree in Petroleum Law & Policy from the University of Dundee, Scotland.

Deveena Ramdharry Deveena Ramdharry Senior Company Secretarial Assistant

Deveena has over 15 years of experience in the company secretarial field.  Prior to joining Prism, Deveena worked in-house at Buzzacott LLP and Haines Watts (Westbury) LLP in the UK and ECS Secretaries Ltd in Mauritius, where she gained extensive experience in various aspect of company secretarial work including incorporations, share-restructure,  dissolution, restoration, organising board meetings, dealing with statutory and regulatory requirements and liaising with different government bodies. Over the years, Deveena has worked with different organisations including Charities, Art Galleries, Educational Intuitions and Investment companies. Deveena is fluent in French.

Emma Hunt New Emma Hunt, ACIS Senior Company Secretarial Assistant

Emma has over 15 years’ experience in the company secretarial field. Prior to joining Prism Emma spent over 10 years working within Barclays Corporate Secretariat managing portfolios of Group entities. Emma undertook a large variety of work including statutory compliance and statutory filings, providing subsidiary governance and best practice advice to UK subsidiaries and overseas Company Secretaries, board meeting attendance and administration, board effectiveness reviews and governance health-checks, entity rationalisation, share capital re-organisations, complex transactional work, providing general co sec advice on a range of Group-wide projects, and leading business and department projects.More recently Emma worked for a Fund Manager managing all aspects of company secretarial work. Emma holds a law degree from the University of East Anglia.

Mariam has over 5 years of experience in the company secretarial field. Prior to joining Prism, Mariam worked in-house at Cineworld Group plc. Other in-house roles in her career include a FTSE 250 and also an AIM company, where she gained experience in general statutory compliance, routine Stock Exchange announcements, share schemes administration and organising board meetings. Mariam is fluent in French.

Janet has 25 years of experience in administration and operations.  Prior to joining Prism, Janet worked in a wide range of sectors, including banking, media and the arts, as a Personal / Executive Assistant, and more recently as a planning assistant at a major UK arts organisation in London.  Janet is responsible for the smooth running of all operational matters at Prism including overseeing marketing efforts, financial matters, coordination of business development and recruitment.  Janet is fluent in Spanish, French and Portuguese.
